Acceptance of terms
These Terms of Use (“Terms”) govern your access to and use of the Nuforiq Supplier Portal and related supplier-facing services (collectively, the “Portal”) offered by Nuforiq (“Nuforiq,” “we,” “us,” or “our”). Nuforiq provides an intelligence platform for food innovation—Intelligence For Food Innovation—including tools for formulation, documentation, marketplace visibility, and collaboration with customers and partners.
By registering for a supplier account, accessing the Portal, or submitting information through the Portal, you agree to these Terms on behalf of yourself and, if applicable, the company or other legal entity you represent. If you do not agree, you must not use the Portal.
We may update these Terms from time to time. We will indicate the “Last updated” date at the top of this page when we do. Continued use of the Portal after changes constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
Description of the service
The Portal allows authorized supplier users to manage supplier profile information, upload and maintain ingredient and product-related listings, attach technical and regulatory documents (such as specifications, certificates, allergen statements, and similar materials), respond to inquiries, and participate in marketplace or visibility features made available to your organization, as configured by Nuforiq and, where applicable, platform administrators.
Specific features, workflows, and integrations may change as the platform evolves. Nuforiq does not guarantee uninterrupted or error-free operation of the Portal. Scheduled maintenance, security updates, or events outside our reasonable control may affect availability.
Accounts and responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it current.
You may not share your credentials with unauthorized persons or use another user’s account without permission. You must notify Nuforiq promptly if you suspect unauthorized access or a security incident related to your account.
Nuforiq may require email verification, administrator approval, multi-factor authentication, or other controls before granting or continuing access. Access to the Portal may be limited, suspended, or revoked in accordance with these Terms and applicable law.
Accuracy of supplier and ingredient data
Suppliers play a critical role in the food innovation ecosystem. You represent and warrant that information you submit through the Portal—including company details, ingredient identities, composition claims, allergen information, certifications, country of origin, technical specifications, and document contents—is, to the best of your knowledge, accurate, complete, and not misleading at the time provided.
You are solely responsible for the substance of your submissions and for complying with applicable laws, regulations, and industry standards governing food, feed, supplements, or other products you supply or describe, as applicable to your business.
You acknowledge that customers, Nuforiq, and third parties may rely on your data for formulation, sourcing, regulatory review, and commercial decisions. Inaccurate, incomplete, or outdated information may cause harm, regulatory exposure, or commercial loss. Nuforiq is not obligated to verify the accuracy of your content but may review, flag, or remove content that appears inconsistent with platform rules, legal requirements, or quality standards.
You agree to correct or update information promptly when you become aware of errors or material changes, and to cooperate with reasonable requests from Nuforiq or customers regarding verification of your submissions.
Acceptable use
You agree not to misuse the Portal. Without limitation, you must not: (a) violate any applicable law or regulation; (b) infringe intellectual property or other rights of third parties; (c) upload malware, attempt unauthorized access, or probe, scan, or test the vulnerability of Nuforiq systems without authorization; (d) interfere with or disrupt the Portal or other users’ use of Nuforiq services; (e) harvest data from the Portal through automated means contrary to our policies or technical restrictions; (f) impersonate any person or entity or misrepresent your affiliation; or (g) use the Portal to transmit unlawful, defamatory, harassing, or obscene content.
Nuforiq may investigate suspected violations and cooperate with law enforcement or regulators where required.
Intellectual property
Nuforiq and its licensors retain all rights, title, and interest in and to the Portal, the Nuforiq platform, software, branding, documentation, and aggregated analytics derived from platform usage (subject to our Privacy Policy), excluding your content as defined below.
You retain ownership of content you upload or submit (“Your Content”), subject to the licenses you grant below. You represent that you have the rights necessary to submit Your Content and to grant the licenses in these Terms.
To operate and improve the Portal, you grant Nuforiq a non-exclusive, worldwide, royalty-free license to host, reproduce, display, process, and distribute Your Content as reasonably necessary to provide the services you request, enforce platform policies, comply with law, and improve platform functionality (including training and tuning internal systems as described in our Privacy Policy, within the boundaries stated there).
Nothing in these Terms transfers ownership of Nuforiq’s intellectual property to you, or your intellectual property to Nuforiq, except as expressly stated.
Confidentiality
You may receive non-public information from Nuforiq, customers, or other users in connection with the Portal. You agree to use such information only for the purpose of using the Portal as intended and to protect it with reasonable care, at least consistent with how you protect your own similar information.
If you are subject to a separate confidentiality or non-disclosure agreement with Nuforiq or a customer, the stricter of these Terms and that agreement will apply to the extent of any conflict regarding confidential information.
Disclaimer; limitation of liability
To the fullest extent permitted by applicable law, the Portal and all related services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nuforiq does not warrant that the Portal will meet your requirements, that data will be error-free, or that defects will be corrected. You use the Portal at your own risk.
To the fullest extent permitted by applicable law, in no event will Nuforiq, its affiliates, or their respective directors, employees, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of the Portal, even if advised of the possibility of such damages.
To the fullest extent permitted by applicable law, Nuforiq’s aggregate liability arising out of or related to the Portal or these Terms will not exceed the greater of (a) the amounts you paid Nuforiq specifically for supplier Portal access in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars (USD $100), if no fees were paid. Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
Suspension and termination
Nuforiq may suspend or terminate your access to the Portal, remove content, or disable accounts if we reasonably believe you have violated these Terms, pose a security risk, or if required by law or by a platform administrator’s governance decisions.
You may stop using the Portal at any time. Provisions that by their nature should survive (including ownership, confidentiality, limitations of liability, and governing law) will survive termination.
Upon termination, your right to access the Portal ceases. We may retain certain data as described in our Privacy Policy and as required by law.
Governing law and disputes
These Terms are governed by the laws of the applicable jurisdiction designated by Nuforiq in your commercial agreement, or if none is specified, by the laws of the jurisdiction in which Nuforiq’s contracting entity is organized, excluding conflict-of-law rules that would require applying another jurisdiction’s laws.
Courts or arbitral forums in that jurisdiction (or as otherwise specified in a separate agreement between you and Nuforiq) will have exclusive venue for disputes, unless applicable law requires otherwise.
